COVID-19 UPDATE: As always, our top priority is the health and safety of all our participants and guests. With this in mind, we will continue to closely monitor the current situation regarding COVID-19 and will be following all mandated local and federal guidelines as they are issued. At this time the Show will occur as scheduled. We will provide updates as they become available.

EXHIBITOR AND ATTENDANCE TERMS AND CONDITIONS

G4 Live, located at 23586 Calabasas Rd. STE 103, Calabasas CA, 91302. G4 Live is a division of Round Meadow Holdings Corporation, which is referred to as “Show Management.” Show Management produces and manages G4 Live.

Any individual attending G4 Live, in any capacity, including but not limited to, attendees, exhibitors, and speakers, hereby accept the terms and conditions set forth below.

 

EXHIBITORS

By completing, signing and returning this order form, the company identified hereon (“you” or “Company”) is applying for the specified promotional opportunities in connection with G4 Live (the “Show”). Participation in the promotional opportunities shall be available only to exhibitors who have contracted with Show Management for exhibit space at the Show (“Exhibitors”). All promotional opportunities are sold and assigned on a first-come, first-served basis. Prior year clients do not have exclusive rights to current year promotional opportunities. Upon written confirmation of acceptance by Show Management, this order form shall become effective and form a binding agreement between you and Show Management. The agreement formed incorporates (i) the terms and conditions set forth on this order form and the Sponsorship and Event Marketing Terms and Conditions (accessible at www.G4Live.com (collectively, “Terms and Conditions”); (ii) the terms, conditions, rules, regulations and guidelines set forth in the Exhibitor Services Kit (accessible at www.G4Live.com); and (iii) all additional policies and directives (“Policies”) published or provided by Show Management relating to the Show (collectively, the “Agreement”). The foregoing shall control in the following order of priority to the extent there is any direct conflict between or among them: first, the Terms and Conditions, second, the Exhibitor Services Kit, and third, the Policies. Show Management reserves the right to reject any order form for any reason.

CANCELLATION: ​NO REFUNDS WILL BE ISSUED. Please note and understand that Company is not permitted to cancel this Agreement due to reasons of force majeure (including, but not limited to, concerns related to a pandemic). Cancellation does not relieve Company of its obligations under the Agreement. Company will be liable for and shall pay any unpaid balance of the fees set forth on this order form in respect of any cancellation. In the event of a pandemic-related “Stay at Home” order or similar government-mandated physical distancing measure, Show Management may retain the deposit and confer with contracting parties to reschedule the event. If the parties cannot agree on a rescheduled date following good faith negotiations, Show Management shall return all unused amounts to Company. In the event that the Show is cancelled by Show Management, Show Management shall refund Company all amounts not already used in connection with the Show.

There is a 25% deposit required for booth reservations. The Exhibitor has 40 days before the show to pay for the booth space in full. The booth balance is due by or before 2/8/2021.

Show Management alone shall determine the venue, duration, opening and closing hours of the Event, stand prices, entry prices and the deadline for choosing your booth.

It is expressly prohibited to assign, sublet or exchange, whether for or without consideration, all or part of the place attributed by Show Management.

The Exhibitor may not, in any form whatsoever, present goods or services or provide advertising for any businesses which are not exhibitors, except with the express prior authorization of Show Management.

Stands must be kept in impeccable condition throughout the Event, with the cleaning and disinfecting of each stand to be carried out every day and completed at the time of opening of the Event to the public, at the Exhibitor’s expense.

A very important reminder from the Las Vegas Services Management Team:

The idea behind hand carry is to only allow those exhibitors with minimal product to enter the building via main doors. You are not permitted to move in & out via the main glass doors, thus creating traffic challenges.

The Exhibitor must be present at his stand at the time of inspection by the safety services and must comply, throughout the Event, with safety and health measures imposed by public authorities or adopted by Show Management.

Show Management shall not be, in any case, responsible for the contracts made between the Exhibitor and any external contract providers (booth set up, transporter, installer, hostess agency, etc….).

The installation of the stands must not under any circumstances cause any damage or modification to the permanent fittings of the exhibition venue and must not negatively affect the convenience or safety of other exhibitors and visitors.

The individual decoration of stands shall be carried out by the Exhibitor under his responsibility. It must in any event accord with the general decorations of the Event, the visibility of neighboring stands and any provisions of the Exhibitor Technical Dossier on this point. The installation of the stands must not under any circumstances cause any damage or modification to the permanent fittings of the exhibition venue and must not negatively affect the convenience or safety of other exhibitors and visitors.

A. EXHIBITOR REGISTRATION AND PARTICIPATION FEES

Failure to pay the balance or any one of the payments of registration and participation fees, at any one of the stipulated due dates, shall, without prior notice, cause the right to exhibit to lapse. All sums already paid by Exhibitor will be irrevocably deemed fully earned by Show Management. Show Management reserves the right to cancel the Exhibitor’s registration and to put his place back for sale without notice.

In addition, Show Management reserves the right to seek payment of the balance of the price due, despite the non-participation of the registered Exhibitor, for any reason whatsoever. In the event that the Exhibitor, for any reason whatsoever, does not occupy his stand on the date of opening of the Event, or by the deadline for installation set by Show Management, he shall be deemed to have abandoned it. Without prejudice to any other measures taken, at the Exhibitor’s own risk, Show Management may use the failing Exhibitor’s stand without the latter being entitled to claim any reimbursement or indemnity, even if the stand is attributed to another Exhibitor.

In addition, any non-payment or late payment shall automatically give rise to late payment interest in favor of Show Management, without prior notice being required. The Exhibitor must also reimburse all costs arising for proceedings to collect the sums due, including any additional fees incurred.

B. GENERAL REGISTRATION

1. AGE RESTRICTION.

No one under the age of 21 will be permitted to attend the Budtender Awards Expo under any circumstances. In accordance with local laws, no one under the age 21 will be permitted to attend the Budtender Awards.

2. REGISTRATION

Registrant shall refer to any individual who registers for the G4 Live, including but not limited to Attendees, Exhibitors, and Speakers, but has not yet obtained a Badge. Registration shall mean information that a Registrant submits to register for access to the G4 Live.

3. MODIFYING REGISTRATION INFORMATION.

Customer service will modify registration information up to fourteen days before the official first day of the G4 Live. The service charge for modifying information related to G4 Live access is $25.00. Customer service may be contacted at (800)201-6050, ext. 5. or contact@G4Live.com

4. DEADLINE TO TRANSFER REGISTRATION.

Upon Registrant’s request, Show Management will transfer Registration to another individual, as designated by Registrant, up to fourteen days before the official first day of the G4 Live. The service charge for transferring Registration is $25.00, in addition to any amounts already paid. Registrant should contact customer service to officially transfer Registration to another individual.

5. DEADLINE TO MODIFY REGISTERED NAME.

Upon Registrant’s request, Show Management will modify the Registrant’s name to reflect the new name, as Registrant instructs, up to fourteen days before the official first day of the Show. The service charge for transferring Registration is $25.00, in addition to any amounts already paid. Registrant should contact customer service to modify the Registrant’s name.

6. CANCELLATION OF REGISTRATION.

Refunds are available up to sixty days before the official first day of the Show (“Refund Deadline”). Requests for a refund must be submitted by the Refund Deadline. The service charge for processing a refund is $25.00, in addition to any amounts already paid.

Refunds are unavailable any time after the expiration of the Refund Deadline without documented bereavement, military leave, or medical leave.

C. BADGING

Show Management is committed to providing a secure and safe experience. To ensure a smooth badging process, please comply with the following.

1. VALID PHOTO IDENTIFICATION REQUIRED FOR CHECK-IN.

The credential that Show Management issues a Registrant after Registrant presents a valid government-issued photo ID at check-in is herein referred to as “Badge.” To pick up a Badge on-site, Registrant must appear in-person and present a government-issued photo ID that matches Registrant’s legal name.

2. BADGE RECIPIENT.

Badge Recipient is herein defined as any individual who receives a Badge, including but not limited to, attendees, exhibitors, and speakers.

3. BADGE MUST REMAIN VISIBLE AT ALL TIMES DURING THE G4 LIVE.

Each Badge Recipient must visibly display Badge Recipient’s Badge on Badge Recipient’s front torso at all times, without exception.

4. RESERVATION OF RIGHTS TO ID BADGE RECIPIENT.

Show Management reserves the right to request a photo ID to verify that the individual wearing the Badge matches the Badge name.

5. REPLACEMENT BADGES.

Replacement Badges are available for individuals who have not been removed for violating any of the Show’s Terms and Conditions as described herein. The service charge for reprinting a replacement Badge is $25.00, in addition to any amounts already paid. Badge Recipient must show a photo ID matching the original registration information. Show Management will deactivate the original Badge. Badge Recipient assumes the risk of missing G4 Live activities while Show Management reprints the replacement Badge.

D. DURING THE G4 LIVE

1. USE OF NAME AND LIKENESS.

Show Management may capture Badge Recipient’s image on video or in photos. Show Management shall have the right in perpetuity to use Badge Recipient’s name, image, and likeness in connection with the G4 Live. Show Management is permitted, although not obligated, to include Badge Recipient’s name as a credit in connection with the image.

2. GRANTS.

Badge Recipient hereby grants Show Management and Show Management’s assigns, licensees, and successors the right to use candid group photos or videos without securing additional permission.

3. RELEASE.

Badge Recipient releases Show Management and Show Management’s assigns, licensees, and successors from any claims that may arise regarding the use of my image, including any claims of defamation, invasion of privacy, or infringement of moral rights, rights of publicity, or copyright.

4. DRESS CODE FOR THE G4 LIVE.

Show Management strongly recommends business or business casual attire. Revealing or unkempt attire that would be deemed inappropriate in a standard professional office environment is prohibited.

5. SPONSORSHIP, EXHIBITOR, MARKETING AND BRANDING COMMUNICATION OPPORTUNITIES

All sponsorship, exhibitor, marketing and branding communication opportunities related to the Budtender Awards and our affiliates are considered exclusive and proprietary to Show Management and our associated contracts with Mandalay Bay and MGM properties. Any infringement upon these opportunities will be viewed by Show Management as a breach of this contract and will carry a penalty associated with the cost of any and all marketing and branding costs plus a 15% damage fee.

6. COVID-19 CONCERNS

Show Management is actively monitoring the incidence of Coronavirus Disease 2019 (COVID-19) in our region. Show Management is following guidance from local health departments and the Centers for Disease Control and Prevention (CDC) regarding large gatherings, including CDC recommendations on preventing the spread of COVID-19.

At this time, the Show will take place as planned. However, if you are sick or feeling you are getting sick, we ask that you please stay home. Currently, older adults and persons with underlying health conditions are considered to be at increased risk of severe illness and complications from COVID-19. Examples of underlying health conditions include heart disease, lung disease, diabetes, people with weakened immune systems, and people who are pregnant. The CDC recommends that people in high-risk groups consult with their healthcare provider about attending any large gathering.

If you do choose to attend the Show, please keep in mind the CDC recommendations on how to keep yourself and others healthy:

●  Avoid close contact with people who are sick.

●  Avoid touching your eyes, nose, and mouth with unwashed hands.
● Wash your hands often with soap and water for at least 20 seconds. Use an alcohol-based hand sanitizer that contains at least 60% alcohol if soap and water are not available.”

E. PROHIBITED ACTIVITIES AT THE G4 LIVE

1. CANNABIS USE AT THE G4 LIVE IS PROHIBITED.

State and local laws regarding medical and adult-use/recreational cannabis notwithstanding, Badge Recipient understands that use, possession, and/or distribution of THC products at the Show are strictly prohibited due to local and venue regulations.

2. PHOTOGRAPHY AND VIDEOGRAPHY IS PROHIBITED.

Photography and videography during any speaker session is prohibited unless the photographer or videographer is a member of the media and has designated Press Badge.

3. BADGE PASSING IS PROHIBITED.

Badge Recipient is prohibited from passing his or her Badge to another individual for use to access any part of the Show. Further, Show Management will confiscate and deactivate Badge Recipient’s Badge, and Badge Recipient will not be allowed re-entry to the G4 Live without refund.

4. SOLICITATION IS PROHIBITED FOR NON-EXHIBITORS.

Solicitation, demonstration, or distribution of promotional materials, products, and services is prohibited unless Badge Recipient has executed an exhibitor contract with Show Management.

5. VAPING AND SMOKING.

Smoking and vaping of tobacco products is only allowed in designated areas.

F. ACKNOWLEDGEMENT

1. RESERVATION OF RIGHTS TO REMOVE OR DENY ADMISSION.

Show Management reserves the right to deny admission or remove those deemed a risk to the professional atmosphere of the G4 Live. Grounds for denial of admission or for removal include, but not limited to, any individual who violates any term as set forth herein.

2. BADGE RECIPIENT UNDERSTANDS AND ACCEPTS THESE RULES.

Any individual attending the G4 Live, in any capacity, including but not limited to, attendees, exhibitors, and speakers, hereby accept the terms and conditions set forth herein. Any individual attending the Show further understands, acknowledges, and accepts that violation of any of the terms contained herein may result in the individual being immediately removed from the G4 Live. Any individual attending the G4 Live, understands, acknowledges, and accepts that anyone who is removed from the G4 Live for any reason will not be allowed re-entry and will not be issued a refund.

3. WAIVER OF LIABILITY.

COVID-19 is extremely contagious and is believed to spread mainly from person-to-person contact. As a result, federal, state, and local governments and federal and state health agencies recommend social distancing and have, in many locations, prohibited the congregation of groups of people.

The G4 Live will put in place certain preventative measures to reduce the spread of COVID-19; however, Show Management cannot guarantee that you will not become infected with COVID-19. Further, attending the Show could increase your risk of contracting COVID-19.

By attending the G4 Live, you acknowledge the contagious nature of COVID-19 and voluntarily assume the risk that you may be exposed to or infected by COVID-19 by attending the Show and that such exposure or infection may result in personal injury, illness, permanent disability, and death. You understand that the risk of becoming exposed to or infected by COVID-19 at the Show may result from the actions, omissions, or negligence of yourself and others, including, but not limited to, Show Management employees, volunteers, and program participants.

You voluntarily agree to assume all of the foregoing risks and accept sole responsibility for any injury to yourself (including, but not limited to, personal injury, disability, and death), illness, damage, loss, claim, liability, or expense, of any kind, that you may experience or incur in connection with your attendance at the Show or participation in the G4 Live (“Claims”). You hereby release, covenant not to sue, discharge, and hold harmless the G4 Live, its employees, agents, and representatives, of and from the Claims, including all liabilities, claims, actions, damages, costs or expenses of any kind arising out of or relating thereto. You understand and agree that this release includes any Claims based on the actions, omissions, or negligence of the G4 Live, Show Management, its employees, agents, and representatives, whether a COVID-19 infection occurs before, during, or after participation in the Show.

CBD PRODUCT (ORIGINAL)

Mandalay Bay allows the exhibition and demonstration of products containing Hemp based CBD. THC based CBD products are strictly prohibited. The term “Hemp” means, and is limited to, the plant Cannabis sativa L. and any part of that plant, including the seeds thereof and all derivatives, extracts, cannabinoids, isomers, acids, salts, and salts of isomers, whether growing or not, with a delta 9 tetrahydrocannabinol concentration of not more than 0.3 percent on a dry weight basis. Based upon the foregoing definition of “Hemp”, exhibitors at the Budtender Awards trade show may: (a) take future orders from customers for Hemp based CBD products; (b) provide Hemp based product samples to attendees; and (c) sell Hemp based CBD products to attendees. Please note that it is incumbent upon exhibitors to research, and comply with Clark County and State of Nevada rules, regulations and laws regarding doing business and selling products in Clark County, Nevada, if applicable.
